These terms and conditions ("Terms") govern your access to and use of our SaaS ("Service"). Please read them carefully before using our Service.

Agreement to Terms

By using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.

Service Description

Exabloom (formerly Learnseeker) as the Provider agrees to provide the software-as-a-service ("SaaS") described in Exhibit A to Customer who subscribes to the service by making this payment, subject to the terms and conditions of this Agreement.

Term

This Agreement will commence upon payment and continue until either parties calls for termination (the "Term"). This Agreement may be renewed for additional terms upon mutual agreement of the parties.

Fees and Payment

Customer agrees to pay Provider the fees set forth in the invoice given in this payment gateway provided for the SaaS during the Term. Payment shall be made in accordance with the payment link provided together with this terms and conditions page.

Third-Party Applications

Customer agrees that they shall be entirely responsible for any third party application that is connected to the software and abide by the third party application's respective terms and services. This applies to all third party applications that customer use to connect to Exabloom as Exabloom does not have any control over the third party applications that customer use to connect to the software.

Intellectual Property

Provider retains all right, title, and interest in and to the SaaS, including any and all intellectual property rights. Customer shall not acquire any ownership rights in the SaaS or any of Provider's intellectual property.

Customer Data

(a) Customer shall own all right, title, and interest in and to any data or information that it provides to Provider in connection with this Agreement (the "Customer Data"). Customer grants Provider a limited, non-exclusive, non-transferable license to use the Customer Data solely for the purpose of providing the SaaS to Customer and for Provider's internal business purposes.

(b) Provider agrees that it will not disclose any Customer Data to any third party without the prior written consent of Customer, except as required by law or as necessary to provide the SaaS to Customer. Provider may use the Customer Data in aggregate form for internal research and development purposes or to create anonymized data sets for product improvement or other purposes, provided that such data does not identify Customer or any individual user.

(c) Upon termination of this Agreement, Provider shall delete all Customer Data in its possession and control within a reasonable period of time, and shall provide written confirmation to Customer that all Customer Data has been deleted.

Confidentiality

The parties acknowledge that in the course of performing this Agreement, they may have access to confidential and proprietary information of the other party. The parties agree to maintain the confidentiality of such information and to use it only in connection with the performance of this Agreement.

Limitation of Liability

Provider shall not be liable to Customer for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement, even if Provider has been advised of the possibility of such damages.

Termination

Either party may terminate this Agreement upon written notice to the other party if the other party breaches any material term of this Agreement and fails to cure such breach within 30 days of written notice of such breach.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the Singapore. 

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
